Conrad’s Board of Directors is responsible for ensuring that the Company has an appropriate corporate governance structure to ensure the creation, protection and enhancement of shareholder value.  This requires that appropriate accountability and control systems are in place.

At Conrad Petroleum, the role of the Board includes ensuring that the Company acts ethically and in the best interest of shareholders in everything it does. To the extent possible, these standards of behavior are reflected in the Company’s corporate governance policies and codes.  These policies and codes are regularly reviewed and, where necessary, updated.

Conrad Constitution
The Conrad Constitution is the Company’s key governance document. The Company is committed to compliance with the Constitution.

Corporate Governance Statement
The Corporate Governance Statement deals with the extent of compliance of the Company with its Corporate Governance Principals each year and is included in the Company’s Annual Report to Shareholders.

Conrad Board Charter
The Conrad Board Charter deals with the composition and operation of the Board of Directors and its adherence to the Company’s governing policies and charters.

The Conrad Board comprises three non-executive directors Mr Dave Johnson (Chairman), Mr Jeremy Brest and Mr Adrian Loh, and two executive directors, Mr Justin Pettett (Managing Director and Chief Executive Officer) and Mr Miltos Xynogalas the Company's Founder. The composition of the Board is balanced, with Directors possessing a broad range of skills, experience, expertise, and qualifications relevant to Conrad’s business.

Conrad Code of Conduct and Ethics
The Conrad Code of Conduct and Ethics governs all Conrad commercial operations and the conduct of Directors, employees, consultants, contractors and all other people when they represent Conrad.

Conrad Anti-Corruption Policy
At Conrad we are committed to conducting business with honesty and integrity and in compliance with the laws of all the countries in which the Company is active. This includes compliance with all laws, domestic and foreign, prohibiting improper payments or inducements to any person, including public officials and members of a royal family. To ensure compliance with these laws the Company has adopted its Anti-Corruption Policy.

Conrad Social Development Policy
The Conrad Social Development Policy is designed to build long-lasting relationships with the communities in which we are active and to demonstrate respect for the culture and values of our host communities. 

Health, Safety, Security & Environmental Policy
The Conrad Health, Safety, Security & Environmental Policy recognizes the need for Conrad to manage its activities in a manner that minimizes the likelihood of any adverse impact on its surroundings and promotes the health and safety of its employees, contractors, the general public and all other stakeholders.

Conrad Reserves Policy
The Conrad Reserves Policy will implement processes and controls to provide reliable petroleum resource estimates, consistent with current industry best practice.  

Conrad Risk Management Policy
The Board is responsible for ensuring that effective risk management programs are in place to protect Conrad’s assets and shareholder value.  The Risk Management Policy, covers financial and operational risks and documents Conrad’s risk management framework.
